The situation

The US structure is decided in Mexico, before the first dollar crosses.

A Mexican company expanding into the United States makes decisions that affect both countries at once: which entity to form, who owns it, how it is funded, how profits come back and what happens on a sale or succession. Getting the structure right at the start is far easier than unwinding it later.

Joaquín is licensed by the State Bar of Texas and admitted in Mexico, and works from Dallas. He advises in Spanish or English, coordinates tax advisers on both sides and works with counsel in other states when a matter requires it.

Frequently asked

Do we need a US partner or resident to form a company?

Generally no. A US entity can be wholly owned by Mexican individuals or companies, although banking, tax registration and some licenses have their own requirements that we plan for.

Should the US company be owned by us personally or by our Mexican company?

It depends on tax, liability and succession goals. We review the options with your tax advisers before the entity is formed.

Can you represent us outside Texas?

Joaquín is licensed in Texas. For matters governed by another state’s law, we work alongside local counsel while keeping one point of contact.
