Mexico · United States

One firm on both sides of the border.

The work carries a signature.

Vega Guerrero advises companies, investors and counsel on transactions and disputes between Mexico and the United States, from Mexico City and Dallas. Every matter is led by founding partner Joaquín Vega Martínez, admitted in Mexico and in Texas.

The Firm

Two jurisdictions. One standard.

Vega Guerrero has advised companies in Mexico since 2014 and is ranked by Chambers & Partners for Corporate/M&A in Mexico. Today it practices from Mexico City and Dallas as a single firm: one engagement, one lead counsel and one standard, whether the matter closes in Mexico, in Texas or in both.

Practice

Six disciplines. One practice.

Cross-border problems rarely stay in one category. A joint venture becomes a governance question; a governance question becomes a dispute. We handle the whole arc.

01

Cross-Border M&A

Acquisitions, divestitures and carve-outs, structured to close in both countries.

02

Investments & Joint Ventures

Capital and partnerships with control, information and exit rules that hold for years.

03

Manufacturing & Nearshoring

Operations in Mexico set up in the right order: entity, site, contracts, trade and labor.

04

Corporate Governance

Boards, powers and approvals that let a company raise capital, sell or pass on cleanly.

05

Disputes & International Arbitration

Commercial disputes and institutional arbitration, led by an ICC-registered arbitrator.

06

Special Situations

Distressed deals, partner deadlocks and post-closing conflicts, resolved before they become endless trials.

Dallas. Mexico City. One hand on the matter.

Joaquín Vega Martínez is admitted in Mexico and licensed to practice law in Texas. Vega Guerrero’s Mexico City office has handled corporate, M&A, litigation and labor matters since 2014. Clients work with one lead counsel who reads both legal systems, backed by the firm on the ground in each.

Founding Partner

Joaquín Vega Martínez

Joaquín began his legal career in 2005 and founded Vega Guerrero in 2014. He leads the firm’s corporate and M&A practice, oversees its litigation and arbitration work and presides over the ICC Bajío Arbitration Committee. Chambers & Partners ranks him individually for Corporate/M&A in Mexico.

Method

How a matter is made.

01

Understand

We start with the business decision, not the document: what must be true after closing?

02

Structure

Entity, tax, sequence and approvals designed in both countries before a term sheet is signed.

03

Execute

The partner leads negotiation and drafting; specialists are coordinated, never handed the file.

04

Stand behind

We stay after signing: integration, governance and, if it comes to that, the dispute.

In their words

“I have worked with him when we were exploring opportunities in establishing a manufacturing facility in Mexico and we found him to be very knowledgeable, diligent and understanding to our specific needs.”
